Please read these Terms carefully. By accessing or using lendnav.com, apply.lendnav.com, or any LendNav service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
These Terms and Conditions (the "Terms") form a binding agreement between you and LendNav LLC, a New York limited liability company, together with its affiliates, agents, and representatives ("LendNav," "we," "us," or "our"). The Terms govern your access to and use of www.lendnav.com, apply.lendnav.com, any related pages, forms, tools, content, and communications, and the brokerage and advisory services we provide (collectively, the "Services").
"You" means any person who visits the website ("Visitor") or who submits information, an inquiry, or an application through the Services, or who otherwise engages LendNav ("Client"). If you use the Services on behalf of a business, you represent that you are authorized to bind that business, and "you" includes that business.
By using the Services you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, you must not use the Services.
LendNav is a small business lending marketplace and capital advisory brokerage. We help businesses identify, compare, and apply for financing products, which may include working capital, merchant cash advances and revenue-based financing, term loans, lines of credit, equipment financing, and commercial real estate financing, offered by third-party banks, lenders, funders, and financing providers (each a "Lender").
LendNav does not make loans, advances, or credit decisions, does not set rates, fees, or terms, and does not fund any transaction. Any financing you obtain is provided by a Lender under that Lender's own agreement, which will govern your relationship with the Lender. LendNav is not a party to any financing agreement between you and a Lender unless a separate written agreement signed by LendNav expressly states otherwise.
LendNav may receive compensation from Lenders or other third parties in connection with financing that originates through the Services. Where applicable law requires a disclosure of such compensation, it will be provided to you in the manner required by that law.
Information provided through the Services is for general informational purposes and does not constitute legal, tax, accounting, investment, or financial advice. LendNav does not act as your fiduciary. You should consult your own professional advisors before entering into any financing transaction.
You may use the Services only if you are at least 18 years old and able to form a legally binding contract. The Services are intended for commercial use by businesses located in the United States. All financing inquiries submitted through the Services are for business or commercial purposes only and not for personal, family, or household purposes. You represent that any financing you seek through LendNav will be used solely for business purposes.
Certain products may not be available in all states or to all businesses. Availability, pricing, and terms are determined solely by the Lender.
Submitting an inquiry or application through the Services does not guarantee that you will receive an offer, that any offer will meet your expectations, or that any financing will fund. Approvals, amounts, rates, and terms are determined by Lenders in their sole discretion and are subject to change until documents are signed and funds are disbursed. Any amounts, ranges, or examples shown on the website or communicated by LendNav are estimates for illustration only and are not commitments to lend.
You agree to provide information that is true, accurate, current, and complete, and to promptly update it if it changes. Submitting false, misleading, or incomplete information may result in denial of financing, termination of the Services, and potential civil or criminal liability.
By submitting an inquiry or application, you authorize LendNav to share the information and documents you provide (including business and personal identifying information, bank statements, financial statements, tax documents, and application details) with Lenders, credit bureaus, data providers, identity verification services, and other third parties as reasonably necessary to evaluate, place, and service your request, and to receive information about you back from those parties.
You authorize LendNav and the Lenders we work with to obtain consumer and commercial credit reports, bank verification data, public records, and other information about you, your business, and its owners and guarantors, both at the time of your request and afterward for purposes of evaluating, placing, servicing, or renewing financing, to the extent permitted by applicable law including the Fair Credit Reporting Act. A written or electronic copy of this authorization is as valid as the original.
If you choose to connect a bank account or other third-party account through a data-aggregation provider, you authorize that provider and LendNav to access and retrieve your account information on your behalf for the purposes described above. Your use of any such provider is also subject to that provider's terms and privacy policy.
By providing a telephone number, email address, or other contact information to LendNav through a web form, application, phone call, text, or otherwise, you expressly consent to receive calls, text messages (SMS/MMS), emails, and other communications from LendNav, its agents, and the Lenders and partners to whom your request is referred, at the contact information provided, regarding your inquiry and related products and services.
You understand that such communications may be made using an automatic telephone dialing system, prerecorded or artificial voice messages, or automated text messaging, and may be made even if your number is listed on a federal, state, or internal Do Not Call registry. Your consent is not a condition of purchasing any product or service. Message and data rates may apply, and message frequency varies.
You may opt out at any time: reply STOP to any text message, use the unsubscribe link in any email, or contact us using the details in Section 20. Reply HELP to any text for assistance. We may send a single message confirming your opt-out.
LendNav may monitor and record calls for quality, training, compliance, and recordkeeping purposes. By communicating with us by phone you consent to such recording where permitted by law.
You agree that electronic signatures, electronic records, and electronic delivery of notices, disclosures, agreements, and other documents have the same legal effect as paper documents and handwritten signatures, consistent with the federal E-SIGN Act and applicable state law. You consent to receive all notices and communications from LendNav electronically at the email address you provide. You may request a paper copy of any document or withdraw this consent by contacting us, in which case we may be unable to continue providing the Services. To access electronic records you need a current web browser, a valid email address, and the ability to view and save PDF files.
The Services may refer you to, or contain links to, Lenders and other third-party websites, applications, portals, and services. LendNav does not control and is not responsible for the content, products, services, terms, privacy practices, or conduct of any third party. Any agreement you enter with a Lender is solely between you and that Lender. LendNav does not endorse, warrant, or guarantee any third-party product or service. Your use of third-party services is at your own risk and subject to their terms.
Some features, including apply.lendnav.com, may require you to create an account or submit login credentials. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify us immediately at hello@lendnav.com of any unauthorized use of your account or any other security breach. LendNav is not liable for any loss arising from unauthorized use of your credentials.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You will not:
The Services and all content, including text, graphics, logos, images, software, page design, and the LendNav name, logo, and tagline, are owned by or licensed to LendNav and are protected by United States and international copyright, trademark, and other intellectual property laws. LendNav grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your internal business purposes in accordance with these Terms. You may not copy, modify, distribute, publicly display, or create derivative works from any content without our prior written consent. All rights not expressly granted are reserved.
If you submit feedback, suggestions, or ideas about the Services, you grant LendNav a perpetual, irrevocable, royalty-free license to use them for any purpose without obligation to you.
Our collection, use, and sharing of your information is described in our Privacy Policy. By using the Services you consent to those practices. Information transmitted over the internet is never completely secure, and you acknowledge that you provide information at your own risk.
THE SERVICES, AND ALL CONTENT, INFORMATION, AND MATERIALS PROVIDED THROUGH THEM, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. LENDNAV DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES, THAT ANY INFORMATION IS ACCURATE, COMPLETE, OR CURRENT, OR THAT YOU WILL OBTAIN FINANCING ON ANY PARTICULAR TERMS OR AT ALL. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
TO THE FULLEST EXTENT PERMITTED BY LAW, LENDNAV AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, BUSINESS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL LENDNAV'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS EXCEED THE GREATER OF (A) THE AMOUNTS, IF ANY, YOU PAID DIRECTLY TO LENDNAV FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
LendNav is not responsible for the acts or omissions of any Lender or other third party, including any Lender's decision to approve, decline, modify, delay, or withdraw an offer or funding.
You agree to defend, indemnify, and hold harmless LendNav and its members, managers, officers, employees, agents, affiliates, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: (a) your use of the Services; (b) your breach of these Terms; (c) any information or documents you submit, including any inaccuracy or misrepresentation; (d) your violation of any law or the rights of any third party; or (e) any financing agreement or dispute between you and a Lender. LendNav reserves the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with that defense.
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of New York, without regard to its conflict-of-laws principles, and by applicable federal law.
Before starting any formal proceeding, you agree to first contact us at hello@lendnav.com with a written description of the dispute and give us 30 days to attempt to resolve it informally.
EXCEPT FOR CLAIMS THAT QUALIFY FOR SMALL CLAIMS COURT, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES THAT IS NOT RESOLVED INFORMALLY SHALL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION UNDER ITS COMMERCIAL ARBITRATION RULES. THE ARBITRATION SHALL TAKE PLACE IN NASSAU COUNTY, NEW YORK, UNLESS THE PARTIES AGREE OTHERWISE, AND JUDGMENT ON THE AWARD MAY BE ENTERED IN ANY COURT OF COMPETENT JURISDICTION. THE FEDERAL ARBITRATION ACT GOVERNS THIS SECTION.
YOU AND LENDNAV EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY.
To the extent any claim is not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Nassau County, New York. Either party may seek temporary or preliminary injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
Any claim arising out of or relating to the Services or these Terms must be brought within one year after the claim arises, or it is permanently barred, to the extent permitted by law.
LendNav may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms or applicable law, or if continuing to provide the Services would expose us to legal risk. You may stop using the Services at any time. Sections 2, 5, 11, and 13 through 19 survive any termination.
We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date and takes effect when posted. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms. We encourage you to review this page periodically.
Entire agreement. These Terms, together with the Privacy Policy and any written agreement you sign with LendNav, constitute the entire agreement between you and LendNav regarding the Services and supersede all prior understandings. If a signed written agreement conflicts with these Terms, the signed agreement controls as to its subject matter.
Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force.
No waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. LendNav may assign these Terms without restriction.
Force majeure. LendNav is not liable for any delay or failure to perform caused by circumstances beyond its reasonable control.
Notices. We may provide notices to you by email, by posting on the website, or by other reasonable means. Notices to LendNav must be sent to the address in Section 20.
Headings. Section headings are for convenience only and do not affect interpretation.
